"Ingredients" refers to any personal care ingredients offered for sale on the platform.
"Subscription Plan" refers to the Advanced and Enterprise plans which can be selected by sellers for using the platform.
To use our platform, you must register an account by providing accurate and complete information. You must be 18 years of age or older to register. You are responsible for maintaining the confidentiality of your login information and for all activities that occur under your account.
You agree to use the platform only for lawful purposes and in compliance with these terms and conditions. You may not use the platform in any way that could damage, disable, overburden, or impair our servers or networks.
We reserve the right to modify, suspend, or discontinue the platform at any time without notice.
The seller must be a registered business and must provide accurate and complete information about their company and ingredients.
Sellers are responsible for the accuracy and completeness of their ingredient listings, including ingredient descriptions, images, pricing, and availability.
Sellers agree to create bids on the platform following the terms agreed upon with the buyer.
Sellers agree to fulfill orders promptly and to provide accurate and timely information to buyers regarding the status of their orders.
Sellers and buyers are responsible for all shipping and handling costs associated with their ingredients.
Sellers may select a subscription plan for the usage of the platform. Advanced and Enterprise plans come with additional features and tools.
Buyers are responsible for providing accurate and complete information for their orders, including shipping and billing information.
Buyers must pay for their orders promptly and under the terms agreed upon with the seller.
Buyers may not purchase prohibited ingredients or ingredients for resale without the express permission of the seller.
Buyers may not use the platform to engage in fraudulent or illegal activities.
We encourage buyers and sellers to resolve any disputes that may arise between them through direct communication.
If a dispute cannot be resolved between the parties, either party may contact us for assistance in resolving the dispute.
We reserve the right to suspend or terminate any user's account for any reason, including but not limited to, a breach of these terms and conditions.
Sellers may use the platform for free or select one of the subscription plans, Advanced or Enterprise, for additional features and tools.
The Advanced and Enterprise plans come with different features and pricing, which can be found on our website at www.Stokkee.com
Subscription plans are billed monthly or annually in advance and can be canceled at any time.
The platform and all products and services provided through the platform are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall we be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the platform, even if we have been advised of the possibility of such damages.
This section will survive any termination or expiration of these terms and conditions.
Intellectual Property: Stokkee, LLC and its licensors own all intellectual property rights in and to the platform, including but not limited to trademarks, logos, copyrights, and trade secrets. You acknowledge that you do not acquire any ownership rights by using the platform.
Indemnification: You agree to indemnify, defend, and hold Stokkee B2B Marketplace and its affiliates, officers, directors, employees, and agents harmless from any claims, damages, losses, liabilities, and all costs and expenses of defense, including but not limited to attorneys' fees, resulting directly or indirectly from a claim by a third party that arises in connection with your use of the platform, including but not limited to your use of the platform to provide or purchase ingredients.
Termination: We reserve the right to terminate your use of the platform at any time, for any reason or no reason, with or without notice to you. Upon termination, you must immediately cease all use of the platform and any ingredients or services obtained through the platform. Any provision of these terms and conditions that by its nature should survive termination will survive termination, including but not limited to the sections on Intellectual Property, Indemnification, and Disclaimer and Limitation of Liability.
Modification: We reserve the right to modify these terms and conditions at any time, without prior notice. You are responsible for regularly reviewing these terms and conditions for any changes. Your continued use of the platform after any modifications indicates your acceptance of the modified terms and conditions.
Governing Law and Jurisdiction: These terms and conditions shall be governed by and construed under the laws of the United States, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under or in connection with these terms and conditions shall be brought exclusively in the state or federal courts, and you consent to the jurisdiction of such courts.
Entire Agreement: These terms and conditions, together with any additional terms to which you agree when using particular elements of the platform, constitute the entire agreement between you and Stokkee concerning the use of the platform. If any provision of these terms and conditions is found invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions of the terms and conditions shall remain in full force and effect.
